2. Acceptance of Terms

By using our website, submitting an enquiry, or signing an engagement scope document, you agree to be bound by these Terms. Our Services are available to businesses and professionals. You must be at least 18 years of age and have legal capacity to enter into a contract on behalf of yourself or your organisation.

3. Service Description

We provide business consulting services to organisations primarily in Hong Kong and the Greater Bay Area. Services are delivered remotely and in person as agreed. We do not provide legal or regulatory advice; our work is analytical and advisory in nature. Where legal interpretation is required, clients should engage appropriate qualified legal counsel.

4. Engagement Process

Each engagement is confirmed by a written scope document or engagement letter specifying objectives, deliverables, timeline, fees, and any specific conditions. No engagement commences until both parties have agreed the scope in writing. Verbal commitments do not create binding engagement obligations.

You may not use our website or services to engage in any unlawful activity, reproduce or redistribute our proprietary methodologies for commercial purposes, or represent our deliverables as your own original work to third parties. We reserve the right to decline or terminate any engagement where we believe the intended use is inconsistent with lawful or ethical standards.

7. Intellectual Property

All methodologies, frameworks, and templates developed by Pagoda Edge remain our intellectual property. Upon full payment of engagement fees, we grant you a non-exclusive licence to use the specific deliverables produced for your engagement within your own organisation. You may not reproduce or commercialise these deliverables without written consent.

8. Payment Terms

Fees are quoted in Hong Kong Dollars (HKD) and confirmed in the engagement scope document. A deposit is typically payable upon engagement commencement, with the balance due upon delivery unless otherwise agreed. Invoices are payable within 14 days of issue. Late payments may incur interest at 1.5% per month or the maximum rate permitted by Hong Kong law, whichever is lower.

9. Cancellation and Refunds

If you cancel an engagement after commencement, fees for work completed to the cancellation date are due in full. We will invoice for a fair proportion of the total engagement fee based on work completed. Cancellations before commencement may receive a full refund of any deposit paid, minus reasonable administrative costs incurred.

10. Confidentiality

Both parties agree to keep confidential all non-public information shared during an engagement. A mutual non-disclosure agreement is signed prior to substantive information sharing. Our confidentiality obligations survive the end of any engagement for a period of three years. We will not reference your organisation in any public-facing materials without your written consent.

11. Disclaimers

Our services are advisory in nature. We do not warrant that implementing our recommendations will achieve specific commercial results. All deliverables are based on information available at the time of the engagement. We are not responsible for outcomes arising from changes in circumstances after delivery or from incomplete information provided by the client.

12. Limitation of Liability

To the fullest extent permitted by Hong Kong law, our total liability for any claim arising from an engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, consequential, or incidental losses including loss of profit, loss of contract, or loss of business opportunity.

13. Indemnification

You agree to indemnify Pagoda Edge against any claims, damages, or expenses arising from your breach of these Terms, misuse of our deliverables, or provision of inaccurate or misleading information during an engagement.

14. Termination

Either party may terminate an engagement by giving written notice. Upon termination, outstanding fees for completed work become immediately due. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of Hong Kong Special Administrative Region. In the event of a dispute, both parties agree to seek resolution through good-faith discussion in the first instance. If unresolved, disputes will be referred to the Hong Kong International Arbitration Centre (HKIAC) under its applicable rules, with proceedings conducted in English.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via our website. Continued use of our website or services after any update constitutes acceptance. Terms in force at the time of an engagement's commencement apply to that engagement.
